MEMBERSHIP QUALIFICATIONS GUIDE

ESTABLISHED BY THE MEMBERSHIP COMMITTEE OF THE BOARD

PURSUANT TO THE BYLAWS OF THE

INTERNATIONAL ASSOCIATION OF INDEPENDENT CORPORATE MONITORS

 

Preface:

Application for membership as a Member in IAICM is open to anyone and it is not a requirement that a candidate or Member have prior or current experience serving as an Independent Corporate Monitor (“Monitor”).  No qualified person shall be excluded from consideration for membership or denied membership on account of race, gender, religion, sexual orientation, political affiliation, disability, gender identity, color, veteran status, or national origin.

 

The following factors, in conjunction with IAICM’s Code of Professional Conduct, serves as a guide, both for those considering application as a Member and for the Membership Committee of IAICM in determining which applicants to recommend for admission as Members.   The totality of each candidate’s relevant experience, in light of these factors, will be considered by the Membership Committee to ensure that that those recommended for IAICM membership possess the breadth and depth of relevant skills, knowledge, and experience, together with reputation of character, to effectively serve as a Monitor consistent with IAICM’s Code of Professional Conduct.

 

Member Qualification Factors:

  1. Relevant Direct Experience:

Monitoring experience directly relevant to the practice of Corporate Monitoring, such as:

  • Prior and/or current service as a Monitor
  • Leadership experience on a Monitorship Team
  • Significant support role and experience on a Monitorship Team

 

  1. Relevant Indirect Experience:

Professional experience indirectly relevant to the practice of Corporate Monitoring, such as:

  • Significant experience selecting and/or working with a Monitor, such as:
    1. Reporting Organization official to whom a Monitor reported;
    2. Counsel (internal or external) to an entity monitored by a Monitor
  • Compliance Officer/Official of an entity monitored by a Monitor
  • Professional service providers who have performed services substantially similar in nature, relevance, and scope typical and common to Corporate Monitorships
  • Academics who have significantly studied and/or researched issues surrounding Corporate Monitors

 

  1. General Experience:

Membership should not be limited to those whose primary professional service(s) and experience is from any one field or discipline (i.e. lawyers, accountants, etc.), rather it is the breadth and depth of experience across a variety of disciplines and areas that should be considered.  At least ten (10) years of professional experience is preferred from among, but not limited to, the following areas:

  • Academia
  • Accounting
  • Auditing (Internal and/or External)
  • Business Operations and Management
  • Consulting
  • Corporate Compliance and Ethics
  • Executive Management and/or Board
  • Finance
  • Forensic Accounting
  • Fraud Investigations
  • Internal Controls
  • International Business and Operations
  • Law Enforcement
  • Law Practice
  • Professional Training
  • Quality Control
  • Regulatory Compliance or Enforcement
  • White Collar Criminal Defense

 

  1. Moral Character:

Consistent with IAICM’s Code of Professional Conduct, members should have and maintain a reputation of high ethical and moral standards, integrity, independence/objectivity, professionalism, and excellence of character.

 

  1. Certification:

Applicants for IAICM membership must sign a certification of their commitment to abide by and uphold IAICM’s Code of Professional Conduct upon admission to IAICM Membership.
