Summary of Monitor's Activities:

Monitor serves as both a compliance asset and independent check for Reporting Agency on Host Organization's compliance with all terms of the Agreement and on the effectiveness of the corporate compliance and ethics program. Monitor will also advise the Audit and Risk Committee, the HCE, and Host Organization management concerning implementation of the Agreement, including reviewing, developing, and checking the operation of Host Organization's policies, procedures, and practices designed to ensure compliance with the terms of the Agreement. To provide guidance and advice to Host Organization regarding the implementation and continued improvement of its compliance program. At Monitor's discretion, investigate complaints concerning compliance with the Agreement.

Monitor's Restrictions:

Monitor may not be engaged or employed by Host Organization for a period of at least one year after the expiration of the Monitorship.
